1. Acceptance of Terms

By accessing or using Flow Pulse ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including individual users, small business users, and enterprise users.

2. Description of Service

Flow Pulse is a cloud-based cash flow and invoice management platform designed to help small businesses and enterprise organizations manage their financial operations. Core features include:

• Cash flow tracking and forecasting
• Invoice creation, sending, and management
• Payment tracking and reconciliation
• Financial reporting and analytics
• Integration with third-party accounting and banking systems
• User account management and team collaboration tools

Flow Pulse reserves the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable prior notice where practicable.

3. Account Registration and Security

3.1 Account Creation

To access the Service, you must create an account by providing accurate, current, and complete information. You agree to maintain and promptly update your account information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must:

• Use a strong, unique password for your Flow Pulse account
• Enable multi-factor authentication (MFA) where available
• Immediately notify Flow Pulse of any unauthorized access or suspected security breach
• Not share account credentials with unauthorized parties

Flow Pulse will not be liable for any loss or damage resulting from your failure to maintain the security of your account.

3.3 Enterprise Accounts

Enterprise accounts may designate administrators who can manage user permissions, data access, and billing on behalf of their organization. Enterprise administrators are responsible for ensuring compliance with these Terms across all users in their organization.

4. Free Trial

Flow Pulse offers a free trial period to allow prospective customers to evaluate the Service. The following terms apply to free trial accounts:

• The free trial period and available features are as specified at the time of sign-up and may be changed at Flow Pulse's discretion.
• No payment information is required to start a free trial, unless otherwise stated.
• At the end of the free trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account and associated data may be suspended or deleted.
• Flow Pulse reserves the right to terminate or modify the free trial offering at any time.
• Abuse of the free trial (e.g., creating multiple trial accounts) is prohibited and may result in account termination.

5. Data Collection, Privacy, and Security

5.1 Data We Collect

In order to provide the Service, Flow Pulse collects and processes the following categories of data:

• Account information: name, email address, business name, and contact details
• Payment and billing information: credit/debit card details, billing address, and transaction history
• Usage data: log files, IP addresses, browser type, and interaction data

5.2 How We Use Your Data

Your data is used to provide, maintain, and improve the Service; process payments; send transactional and service communications; comply with legal obligations; and prevent fraud and abuse. We do not sell your personal data to third parties.

5.3 Data Security

6. Billing and Payment

6.1 Subscription Plans

Paid access to Flow Pulse is provided through subscription plans as described on our pricing page. By subscribing, you authorize Flow Pulse to charge your payment method on a recurring basis for the applicable subscription fee.

6.2 Payment Processing

Payment information is processed by third-party payment processors. Flow Pulse does not store full payment card details on its servers. By providing payment information, you represent that you are authorized to use that payment method.

6.3 Renewals and Cancellations

• Subscriptions automatically renew at the end of each billing period unless cancelled.
• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• Refunds are not provided for partial billing periods, except where required by law.

6.4 Price Changes

Flow Pulse reserves the right to change subscription pricing. We will provide at least 30 days' notice of any price increase, which will take effect at your next renewal.

7. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Engage in fraudulent, deceptive, or misleading activities
• Use automated tools to scrape, crawl, or extract data from the Service without authorization
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to process or store data in violation of applicable financial regulations

Violation of this policy may result in immediate suspension or termination of your account without refund.

8. Intellectual Property

8.1 Flow Pulse IP

All software, designs, trademarks, logos, and content provided as part of the Service are the exclusive property of Flow Pulse or its licensors. Nothing in these Terms transfers any ownership of Flow Pulse intellectual property to you.

8.2 Your Data

You retain all ownership rights to the data and content you upload to or create within the Service ("Your Content"). By using the Service, you grant Flow Pulse a limited, non-exclusive license to access, process, and store Your Content solely as necessary to provide and improve the Service.

8.3 Feedback

If you submit suggestions, feedback, or ideas about the Service, you grant Flow Pulse an unrestricted, royalty-free license to use such feedback for any purpose without obligation to you.

9. Third-Party Integrations

The Service may integrate with third-party platforms (e.g., accounting software, banking APIs, payment processors). Your use of such integrations is subject to the applicable third-party terms and privacy policies. Flow Pulse is not responsible for the availability, accuracy, or security of third-party services.

10. Disclaimers and Limitation of Liability

10.1 No Financial Advice

The Service provides financial data tools and reporting features for informational purposes only. Flow Pulse does not provide financial, accounting, tax, or legal advice. You should consult qualified professionals for advice specific to your situation.

10.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOW PULSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Flow Pulse's total aggregate liability to you for any claims arising out of or related to these Terms shall not exceed the amounts paid by you to Flow Pulse in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Flow Pulse and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Your Content.

12. Term and Termination

These Terms remain in effect for the duration of your use of the Service. Either party may terminate these Terms at any time:

• You may terminate by cancelling your account and ceasing use of the Service.
• Flow Pulse may suspend or terminate your account immediately for violation of these Terms, non-payment, or fraudulent activity.
• Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimer, limitation of liability, and dispute resolution) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of [Your State], without regard to conflict of law principles. Any disputes arising under these Terms shall first be subject to good-faith negotiation.
